We are looking for a skilled and motivated Corporate Counsel to join our team on a part-time basis (approximately 10-20 hours week). Job Description:
As a Part-Time Corporate Counsel, you will be responsible for providing comprehensive legal support to our company. Your primary duties will include:
- Contract Drafting and Review: Draft, review, and negotiate a variety of commercial agreements, including vendor contracts, client agreements, NDAs, and licensing agreements.
- Corporate Governance: Assist with corporate governance matters, including maintaining corporate records and ensuring compliance with relevant regulations.
- Legal Compliance: Advise on regulatory compliance, employment law, intellectual property, and other legal matters pertinent to the client’s business.
- Risk Management: Identify and mitigate legal risks, provide strategic legal advice to the management team, and support internal policies and procedures.
- Mergers and Acquisitions: Provide legal support and advice on mergers and acquisitions, including due diligence, transaction structuring, and post-transaction integration.
- Business Development: Handle calls and business development activities to attract new clients and generate new business opportunities for the firm.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with California state bar.
- Experience as a corporate counsel or in a similar role is preferred. New lawyers who are able to learn quickly are also welcome to apply
- Strong knowledge of corporate law, contract law, regulatory compliance, and mergers and acquisitions
- Excellent drafting, negotiation, and communication skills
- Ability to work independently and manage multiple priorities
